| MATTHEW S. MELIUS Principal, FG Companies Prior to forming FG Companies, LLC in March 2007, Mr. Melius was the Chief Operating Officer of Metris Companies, Inc. (“Metris”), an issuer of general purpose credit cards, and President and Chief Executive Officer of Direct Merchants Credit Card Bank (“DMCCB”), Metris’ wholly-owned bank subsidiary. Mr. Melius was an executive at Metris from the company’s inception in 1995 through to its sale to HSBC in 2006. At Metris, Mr. Melius was directly responsible for over 4,500 employees across the United States and more than $12 billion in receivables (at Metris’ peak in 2001). Mr. Melius was a member of Metris’ Executive Management Committee for over 10 years, and served on several management committees, including Credit Policy, Compliance, Asset and Liability (ALCO), Information Technology Steering Committee, Compensation, HR Benefits, and the Customer Pricing Committee. In addition to overall responsibility for the various operating areas of Metris, Mr. Melius was actively involved with the Board of Directors of Metris; the key spokesperson in interactions with public equity investors in Metris’ NYSE listed common stock; a key point person in discussions with the SEC; the key Metris relationship with the OCC and FDIC, regulators of DMCCB; highly involved in the management of several debt capital providers, including the rating agencies, ABS, warehouse and bank loan underwriters and investors. From 2001 to 2004, following the economic downturn accelerated by 9/11, Mr. Melius was instrumental in leading a distressed organization back to profitability by implementing a comprehensive operational revitalization effort that included complete shifts in operational practices, credit risk management strategies, regulatory compliance practices, bank operating procedures and marketing strategies. His achievements were featured in The American Banker, Credit Risk Management and Collections, and other business media. From 2005 to 2006, Mr. Melius was a central figure in the sale of Metris to Household Finance (now HSBC) for $1.6 billion. Prior to Metris, Mr. Melius was a Senior Manager of Marketing and Bank Officer at First National Bank of Omaha where he led the Company’s new account originations platform. In addition, Mr. Melius was responsible for all post acquisition portfolio management activities including activation and usage, repricing and customer retention. Mr. Melius holds an MBA from the University of Nebraska and a BSBA degree in Business Administration from the University of South Dakota. |
